Kutcho Copper Corp. (TSXV:KC)(OTC:KCCFF) (“Kutcho Copper” or the “Company”) is pleased to announce that it has completed its previously announced short form prospectus offering consisting of 9,200,000 flow-through shares (the “FT Shares”), at a price of C$0.45 per FT Share (the “Issue Price”), for gross proceeds of C$4,140,000 (the “Offering”). Pursuant to the Offering, the Company has issued a total of 8,000,000 FT Shares for total gross proceeds of C$3,600,000, (“Tranche 1”) and has arranged, on a delayed settlement basis, with one additional subscriber for 1,200,000 FT Shares for total gross proceeds of $540,000 to close on or before September 30, 2018 (“Tranche 2”). The Offering was conducted by a syndicate of agents led by Haywood Securities Inc., and including GMP Securities L.P., Canaccord Genuity Corp., Cormark Securities Inc., and Macquarie Capital Markets Canada Ltd.
The proceeds from the Offering will be used to incur Canadian exploration expenditures (“CEE”) that qualify as ‘flow-through mining expenditures’ (as such terms are defined in the Income Tax Act (Canada)) on the Company’s Kutcho high grade copper-zinc project located in British Columbia (the “Qualifying Expenditures”). The Qualifying Expenditures will be renounced to the purchasers with an effective date no later than December 31, 2018, in the aggregate amount of not less than the total amount of the gross proceeds raised from the issuance of the FT Shares.
Pursuant to the closing of the first tranche, the Agents received a cash commission of 6% and Agent’s Warrants entitling them to acquire 480,000 common shares of the Company at $0.45 per share for a period of 24 months.
